Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ConverStruct (the "Service"). By requesting beta access, completing account onboarding, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. What the Service Does

ConverStruct transcribes speech you provide, uses an automated process to extract an intended CRM action from that transcript, and executes that action against your connected GoHighLevel ("GHL") account on your behalf. The Service is a tool that acts on your instructions; it does not review, moderate, or verify the accuracy of the CRM actions it takes beyond the confirmations the product presents to you before or after execution.

3. Private Beta

The Service is currently offered as an invite-only private beta. Access may be granted, limited, or revoked at our discretion, and the Service may change substantially, break, or be discontinued without the notice a generally-available product would receive. Beta features may not perform as a finished product would.

4. Your Responsibilities

• You are responsible for the lawfulness of every recording you make through the Service, including having any consent, notice, or two-party recording-consent compliance required in your jurisdiction before recording a customer or other third party.
• You are responsible for the accuracy of the CRM actions the Service takes on your behalf, including reviewing confirmations before they execute where the product presents one.
• You are responsible for keeping your account credentials, and your connected GoHighLevel Private Integration Token, confidential.
• You will not use the Service to record or process anyone without a lawful basis to do so, or in a way that violates applicable law.
• You are the data controller for the personal data of your own customers that passes through the Service; ConverStruct acts as your data processor for that data, as described in the Privacy Policy.

5. Third-Party Services

The Service depends on third-party providers, including OpenAI and ElevenLabs (transcription), Supabase (authentication and database), Stripe (billing), Resend (email), GoHighLevel (your CRM), and Vercel (hosting). We are not responsible for outages, errors, or policy changes originating from these providers, though we will make reasonable efforts to work around them. Your use of GoHighLevel itself remains governed by your own agreement with GoHighLevel.

6. Subscriptions and Billing

Paid plans are billed through Stripe on a recurring basis at the price shown at the time of purchase. Subscriptions renew automatically until canceled. You can manage or cancel your subscription from your account billing settings. Fees already paid are non-refundable except where required by law.

7. Account Termination and Deletion

You may delete your account at any time from Settings → Profile, which permanently removes your ConverStruct account and the associated data we hold, as described in the Privacy Policy. We may suspend or terminate access for violation of these Terms, non-payment, or misuse of the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. Automated transcription and CRM-action extraction can be wrong; you are responsible for reviewing the results before relying on them for business-critical decisions.

9. Limitation of Liability

To the maximum extent permitted by law, ConverStruct and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising from your use of the Service, including from an inaccurate transcription, an incorrectly extracted CRM action, or your own failure to obtain a lawful basis to record a third party.

10. Changes to These Terms

If we make a material change to these Terms, we will update the version string and effective date at the top of this page, and, where required, ask you to accept the new version before continuing to use the Service.
